Property Transfer Agreement

Version 2026-08-21. Between the current owner (the Sender), the person accepting it (the Recipient), and DRM3 Labs Corp (“DRM3”), for the newspaper named in the hand-over (the “Paper”).

This is a complete hand-over. When both parties have signed, the Paper belongs to the Recipient.

1. What moves

The Sender transfers the Paper to the Recipient: its name and address, its desk and settings, its masthead and sections, its published archive and every receipt attached to it, its reader domains, and its subscribers. The Paper's name and address never change in a transfer.

2. What the Sender says

The Sender states that they own the Paper on Newsroom Floor, that they have the authority to hand it over, and that no other person holds a claim on it that this transfer breaks. The Sender keeps the seat chosen at the offer, or leaves the Paper, as the offer states.

3. What the Recipient takes on

From the moment of acceptance the Recipient is the publisher of the Paper. The Recipient takes over the Paper's plan and its billing, and becomes responsible for what the Paper releases from then on. By signing, the Recipient accepts, for this Paper, every document the Paper runs under: the Terms of Service, the Privacy Policy, the Truth Foundry Terms, the Data License Agreement and the Publisher Agreement, and receives the Content License for the Paper.

4. The content

Content the Paper produced before the transfer passes to the Recipient under the Content License, with its provenance intact. The Sender keeps no rights in it after the transfer, except any seat this agreement leaves them. Receipts, hashes and on-chain anchors already filed are never altered by a transfer.

5. Money

No money moves through DRM3 in a transfer. Any payment between the Sender and the Recipient is their own matter. Plan fees already paid are not refunded; the Recipient's own plan sets the Paper's caps from acceptance on.

6. The record

DRM3 records both signatures with the exact text signed, the time, and the network address of each signature; files a signed receipt of the transfer; and anchors that receipt on Base. Both parties can verify the receipt at any time. DRM3 may refuse or reverse a transfer made by fraud or against these terms.

7. When it takes effect

The transfer takes effect when the Recipient signs and accepts. Until then the Sender may cancel the offer. An offer expires fourteen days after it is made.
